Governance Structure Review and Followup Activities to Action Recommendations/Findings
1.0 Services Required
Uwezo Tanzania is seeking to engage a consultant or firm to conduct a comprehensive review and audit of the organization’s governing structure for the past three years. The review will evaluate the performance of the governance system in relation to Uwezo’s mission of improving literacy and numeracy competencies among Tanzanian children. Additionally, the consultant will provide recommendations for improvements and facilitate follow-up workshops to action the recommendations/findings of the review.
2.0 Background
Uwezo Tanzania, a nationally registered NGO, established in 2008 Uwezo has spent over 16 years enhancing educational outcomes through innovative community engagement and evidence-based advocacy, highlighted by citizen-led assessments that reveal significant learning challenges. As it enters the 2024-2028 period, Uwezo plans to undergo transformative growth with a renewed emphasis on holistic education, introducing comprehensive programs that focus on early childhood development, mental health awareness, essential life skills, digital literacy, climate change education, and gender equity issues. The organization is committed to inclusivity and community engagement, striving to ensure all children, regardless of gender, receive quality education tailored to their diverse needs. By addressing the entire basic education spectrum, Uwezo seeks to empower communities to advocate for better learning outcomes, strengthen institutional frameworks, and enhance community participation, ultimately fostering a system where every child can thrive and reach their full potential.
3.0 Assignment Objectives
The objectives of this assignment are:
● To review and audit the performance of Uwezo Tanzania’s governance structure over the last three years.
● To assess the effectiveness, leadership, and decision-making processes within the governance system.
● To identify areas where capacity building is needed for the governance team.
● To design and facilitate workshops that will enhance the governance team’s capabilities and strengthen their oversight role.
4.0 Scope of Work
The consultant will be required to:
● Review Uwezo Tanzania’s governance documents, policies, and reports for the past three years.
● Conduct interviews with board members, staff, and key stakeholders to assess the performance of the governance structure.
● Benchmark Uwezo Tanzania’s governance practices against regional and international best practices for similar organizations.
● Review and identify gaps in organizational policies needed for effective organizational performance and government/donor compliance.
● Prepare an audit report detailing findings, strengths, gaps, and recommendations for improvement.
● Design and facilitate workshops on governance capacity building, tailored to address identified gaps and strengthen leadership and accountability within the governance team.
5.0 Methodology
The consultant is expected to use participatory approaches that engage Uwezo Tanzania’s governance team and stakeholders in the review and capacity-building process. The following methods are recommended:
● Document review: Analysis of governance policies, meeting minutes, strategic plans, and reports.
● Stakeholder consultations: Interviews and focus group discussions with board members, staff, and key partners.
● Comparative analysis: Benchmarking Uwezo Tanzania’s governance practices with similar entities regionally and internationally.
● Workshops: Interactive training sessions based on adult learning principles to help action the recommendations/findings of the review.
6.0 Deliverables
Key Deliverable and Standard for Delivery
1 Inception Report and Work Plan
A detailed report that outlines a clear understanding of the governance structure of Uwezo Tanzania, the methodologies to be used, and a stakeholder engagement strategy. The report should include a Gantt Chart indicating tasks, timelines, and resource allocation. To be submitted within 4 weeks after the contract signing.
2 Governance Audit Report
A report documenting findings from the review of Uwezo Tanzania’s governance system, including interviews with board members and stakeholders. The report should highlight strengths, gaps, and recommendations for improvement. To be submitted within 8 weeks after the contract signing.
3 Followup Workshop Materials
Materials for the followup workshops, including presentations, training guides, and activity handouts. The materials should be designed to address challenges identified in the governance audit and enhance the skills of the governance team. To be submitted within 10 weeks after the contract signing.
4 Delivery of Followup Workshops
Delivery of followup workshops to address challenges identified in the governance audit and to enhance the skills of the governance team. A report summarizing workshop outcomes and participant feedback should also be provided. To be completed within 12 weeks after the contract signing.
5 Final Governance Improvement Plan
A comprehensive final report summarizing the audit findings, workshop outcomes, and providing a clear governance improvement plan. This plan should include measurable performance indicators and timelines for implementation. To be submitted within 20 weeks after the contract signing.

7.0 Timeline
The consultancy is expected to last for a period of six months from the date of contract signing. Key milestones will be as follows:
● Inception report: 4 weeks after contract signing.
● Governance audit report: 8 weeks after contract signing.
● Followup workshops: 12 weeks after contract signing.
● Final report: 20 weeks after contract signing.
8.0 Consultant Qualifications
The consultant or firm should have:
● A strong background in governance and organizational development, preferably within iNGOs
● Proven experience in conducting governance audits and facilitating skills-building workshops.
● Knowledge of education sector challenges in Tanzania or East Africa.
● Excellent communication and report writing skills.
9.0 Submission of Proposals
Interested consultants should submit a technical and financial proposal detailing their approach to the assignment, experience in similar projects, and a detailed work plan. Proposals should also include the CVs of key personnel involved in the assignment.
